These Terms of Service ("Terms") govern your access to and use of the Sokoni Pro platform, website and services ("Services"). By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
1. Your account
- You must provide accurate, current and complete information when creating your account.
- You are responsible for keeping your login details confidential and for all activity that happens under your account.
- You must be at least 18 years old, or the legal age to enter into a binding contract in your jurisdiction, to use our Services.
- You must notify us immediately if you suspect any unauthorised use of your account.
2. Our services
Sokoni Pro provides tools for selling online, accepting payments, managing inventory, processing orders and keeping business records. We may add, change or remove features at any time to improve the Services. Where changes materially affect you, we will make reasonable efforts to notify you in advance.
3. Subscriptions and payments
- Some parts of the Services are free; others require a paid subscription. Prices and plan features are shown on our pricing page.
- Subscription fees are charged in advance and are non-refundable except where required by law or stated in these Terms.
- You are responsible for ensuring that your payment details are valid and up to date.
- We may change fees by giving you reasonable notice before the change takes effect. Continued use after the change means you accept the new fees.
- Failure to pay may result in suspension of your access to paid features.
4. Your responsibilities
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law.
- Post or transmit content that is fraudulent, deceptive, harmful, defamatory or infringes the rights of others.
- Attempt to access, disrupt or interfere with the Services, other accounts or the systems and networks connected to the Services.
- Reverse engineer, decompile or attempt to extract the source code of the Services.
- Resell, sublicense or commercially exploit the Services without our written consent.
5. Your content and data
You own the content and data you submit to the Services, including your products, sales and customer records. You grant us a limited licence to host, store, process and use this data solely to provide and improve the Services. You are responsible for the accuracy and legality of the data you add, including obtaining any consents needed from your customers.
6. Intellectual property
The Sokoni Pro name, logo, software, designs and all related materials are owned by us or our licensors and are protected by intellectual property laws. You may not use our trademarks or branding without our prior written permission.
7. Third-party services
The Services may integrate with third-party providers such as payment processors and delivery services. Your use of those services is subject to their own terms. We are not responsible for the availability or performance of third-party services, but we will work with providers to keep integrations working smoothly.
8. Availability and discontinuation
We aim to keep the Services available at all times but do not guarantee uninterrupted access. The Services may be temporarily unavailable for maintenance, upgrades or events beyond our control. We may suspend or discontinue any part of the Services at any time, with reasonable notice where possible.
9. Termination
You may stop using and cancel your account at any time. We may suspend or terminate your access if you breach these Terms, engage in conduct that harms the Services or other users, or if we are required to do so by law. On termination, you may export your data within a reasonable period; after that, your data may be permanently deleted.
10. Disclaimer of warranties
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be error-free, uninterrupted or completely secure.
11. Limitation of liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business opportunities, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services shall not exceed the amount you paid us in the three months preceding the claim.
12. Changes to these terms
We may update these Terms from time to time. When we make significant changes, we will update the "Last updated" date above and, where appropriate, notify you through the platform. Your continued use of the Services after changes take effect means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the United Republic of Tanzania, without regard to its conflict-of-law principles. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Tanzania.
